The Markets in Crypto-Assets Regulation (MiCA) is the European Union's comprehensive framework for crypto-asset issuers and service providers. It became fully applicable on 30 December 2024 after a multi-year legislative process.
MiCA is structured in titles. Title II covers all crypto-assets other than asset-referenced tokens (ARTs) and e-money tokens (EMTs). For Title II crypto-assets like $IOI, the regime is notification-based: the issuer drafts a structured, machine-readable whitepaper, files it with a national competent authority (NCA) in its home Member State, and the NCA transmits it to ESMA for publication on a public, EU-wide register.
A protocol with a publicly-listed MiCA whitepaper has done the work of demonstrating regulatory engagement and structural transparency. Most DeFi protocols have not.

Following the publication of Regulation (EU) 2023/1114 in the Official Journal, the rules for crypto-assets other than ARTs and EMTs become directly applicable across all Member States.

MiCA Title II is a notification regime, not an authorisation regime. The IOTrader whitepaper has been notified to the Central Bank of Ireland and is publicly listed on the ESMA central register, but it has not been reviewed, approved, or endorsed by any competent authority.
The issuer (IO TRADE LAB LIMITED) bears sole responsibility for the content of the whitepaper. ESMA's public register includes a corresponding statement: "These white papers have not been reviewed or approved by any competent authority."
The fact of being publicly listed on the ESMA register remains the strongest credibility signal available under Title II MiCAR. Few DeFi protocols have done this work. IOTrader has.

No, and that's an important distinction. MiCA Title II is a notification regime — issuers file a structured whitepaper with their National Competent Authority, which transmits it to ESMA for publication on a public register. Neither the NCA nor ESMA reviews or approves the substance of the whitepaper. The issuer bears sole responsibility for its content.
What public listing on the ESMA register does demonstrate is that IOTrader has gone through the regulatory engagement, structuring, iXBRL tagging, and entity-level diligence required to comply with Title II — work very few DeFi protocols have done.
The MiCA Title II framework allows compliant offering and trading of crypto-assets across the EU and EEA. With the whitepaper notified to the Central Bank of Ireland and listed on the ESMA register, the path for $IOI to be offered to EU retail is structurally clear.

MiCA applies to the EU and EEA. Outside that block, each jurisdiction has its own crypto-asset framework (or none). Our multi-entity structure (UK, US, BVI in registration) is designed to allow appropriate compliance posture in each region.
The MiCA filing is specifically about the EU/EEA offering. It does not constitute registration, authorisation, or approval in the United States, the United Kingdom (post-Brexit), or any other jurisdiction.
MiCA Title II covers the token side of the offering. The service-provider side (Title V — Crypto-Asset Service Providers) is a separate regime requiring full authorisation. Because IOTrader is non-custodial and decentralised, the architecture may not require CASP authorisation. We continue to evaluate this with counsel as the protocol scales.
